Terms and Conditions
Salarie (salarie.app) · operated by Xandee Tech LTD Last updated: 5 October 2026 · Version 1.0
1. Agreement
1.1 These Terms and Conditions ("Terms") form a binding agreement between Xandee Tech LTD, of Benson Abam Street, Lemna, Calabar ("Xandee", "we", "us"), and the business or person who registers for or uses the Salarie mobile application or the website at salarie.app (together, the "Platform") ("you", the "Business User").
1.2 By creating an account, or by using the Platform, you confirm that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1.3 If you register on behalf of a business, you confirm that you have authority to bind that business, and "you" includes that business.
2. Definitions
- "Batch Payment" means a single instruction in which a Business User pays one lump sum for distribution to one or more Payees.
- "Payee" means an employee or other individual whom a Business User pays through the Platform.
- "Payment Processor" means Korapay, or any replacement or additional licensed payment service provider we use.
- "Credits" means the prepaid units a Business User buys to pay for transfers on the Platform.
- "Payee Data" means the name, bank name, account number, payment amount, job title and any other details of a Payee entered into the Platform.
3. The Platform
3.1 The Platform is a technology service that helps Business Users pay many Payees in a single transaction. We are not a bank, an employer, or a payroll or tax adviser.
3.2 Payments are collected and paid out through the Payment Processor. We do not hold, keep or maintain balances for you.
3.3 All payments on the Platform are made in Nigerian naira (₦).
4. Accounts and eligibility
4.1 You must be at least 18 years old and legally capable of entering into a contract to use the Platform.
4.2 You may sign in with an email address and password or with Google. You must provide accurate registration information and keep it up to date.
4.3 You are responsible for all activity under your account. Keep your sign-in credentials confidential and tell us immediately at legal@xandee.tech if you suspect unauthorised access. A Business User may manage more than one business under one account, and you are responsible for each business you add.
5. How a Batch Payment works
5.1 To make a Batch Payment, you select the Payees (or all Payees) and review the amounts. The Platform then gives you an account number to which you pay a single lump sum. Where the Platform calculates a net amount from figures you enter (such as base pay, additions and deductions), you must review the amount before paying.
5.2 We instruct payouts to Payees only after the Payment Processor confirms that your payment has been received successfully.
5.3 Underpayment. If the amount you pay is less than the total due for the Batch Payment, no payouts are made and the amount you paid is refunded.
5.4 Overpayment. If you pay more than the total due, the Payees are paid the amounts due and the excess is refunded to you.
5.5 Failed payouts. If a payout to a Payee fails, we retry it. If it remains unsuccessful, we notify you and the undelivered amount is refunded or reversed to the original source of the funds.
5.6 Refund timing depends on the Payment Processor and the banks involved, and we are not responsible for delays outside our control.
6. Your responsibility for accuracy
6.1 You are solely responsible for the accuracy of all information and amounts you enter, including each Payee's name, bank, account number and payment amount, and for selecting the correct Payees.
6.2 Bank transfers are generally final once completed. If you enter a wrong account number, a wrong amount or the wrong Payee, we are not liable for the resulting loss, and any recovery from the recipient or their bank is your responsibility.
6.3 We may, at our discretion and with no obligation, ask the Payment Processor to help recall a mistaken payment. We do not promise that any recovery will succeed.
7. Fees and Credits
7.1 You pay for transfers through Credits. The fee is currently between ₦220 and ₦400 per
transfer, depending on the rate that applies when you buy.
[CONFIRM: how the rate is determined — by bundle size, plan, or something else.] You, as the Business
User, pay all fees. Payees are not charged.
7.2 We may change our fees. Changes apply to Credits bought after the change takes effect, and we will give notice in the Platform or by email before a change applies.
7.3 Credits are non-refundable once bought and do not expire.
7.4 This clause does not remove your right to a refund of a payment that we return to you under clauses 5.3, 5.4 or 5.5, which are refunds of the money you paid for Payees, not of Credits.
8. Your data duties as an employer
8.1 You confirm that you have the legal right to give us Payee Data and to instruct payments to Payees.
8.2 Before entering Payee Data, you must tell each Payee (and obtain any consent or authority the law requires) that their name, bank details, payment amount and job title will be shared with us and our service providers to process their pay.
8.3 You are responsible for your obligations to your employees, including pay, tax, pension and other employment-law duties. We do not calculate or file taxes or statutory deductions for you.
8.4 We handle personal data as described in our Privacy Policy. As between you and us, you are responsible for the lawfulness of the Payee Data you supply.
9. Acceptable use
9.1 You must not use the Platform to:
- (a) pay anyone you do not owe or are not authorised to pay;
- (b) commit fraud, launder money, finance crime or avoid sanctions or lawful taxes;
- (c) enter another person's data without authority;
- (d) interfere with, copy, reverse-engineer or attack the Platform; or
- (e) break any law that applies to you.
9.2 We may delay, hold, refuse or reverse any transaction, and suspend an account, where we reasonably suspect a breach of clause 9.1, where the Payment Processor or the law requires, or to protect users.
10. Third-party services
The Platform depends on third parties, including the Payment Processor, Google/Firebase and Resend. We are not responsible for failures, delays or errors of these third parties, but we will take reasonable steps to resolve issues that affect your payments.
11. Intellectual property
The Platform, its software, design, brand and content belong to Xandee or its licensors. We give you a limited, non-exclusive, non-transferable licence to use the Platform for your own business payroll purposes while these Terms apply. You keep ownership of the data you enter.
12. Availability and warranty
12.1 We aim to keep the Platform available but do not promise uninterrupted or error-free operation. We may carry out maintenance or changes.
12.2 The Platform is provided "as is" and "as available". To the extent the law allows, we give no warranty other than those these Terms expressly state.
13. Limitation of liability
13.1 Nothing in these Terms excludes liability that cannot be excluded by law.
13.2 To the extent the law allows, Xandee is not liable for indirect or consequential loss, loss of profit or goodwill, or any loss caused by your errors, by wrong details you entered, by the Payment Processor or banks, or by events outside our reasonable control.
13.3 To the extent the law allows, our total liability to you for any claim arising from the Platform is limited to the fees you paid to us in the 3 months before the claim arose.
14. Indemnity
You will compensate us for losses, claims and costs arising from your breach of these Terms, from Payee Data you had no right to supply, or from your unlawful use of the Platform.
15. Suspension and termination
15.1 You may stop using the Platform at any time and may ask us to delete your account at legal@xandee.tech.
15.2 We may suspend or end your access if you breach these Terms, if we must by law, or if your use risks harm to others or to the Platform.
15.3 On termination, unused Credits are not refunded (clause 7.3), and we handle your data as set out in the Privacy Policy. Clauses that by their nature continue after termination continue to apply.
16. Changes to these Terms
We may update these Terms. We will update the "Last updated" date and, for material changes, give you notice by email or in the Platform before they take effect. If you continue to use the Platform after the effective date, you accept the updated Terms. If you do not accept them, you must stop using the Platform.
17. Governing law and disputes
17.1 These Terms are governed by the laws of the Federal Republic of Nigeria.
17.2 The parties will first try to resolve any dispute by good-faith discussion. A dispute not resolved within
30 days may be brought before the courts of
Nigeria, which will have jurisdiction.
18. Notices
We may notify you by email to the address on your account or through the Platform. You may contact us at legal@xandee.tech or Benson Abam Street, Lemna, Calabar.
19. General
These Terms, with our Privacy Policy, are the whole agreement between us on the Platform. If a provision is unenforceable, the rest continues. Our failure to enforce a right is not a waiver. You may not transfer your rights under these Terms without our written consent; we may transfer ours in a merger or sale of the business. Neither party is liable for delay caused by events beyond its reasonable control.
